Thank you for choosing Galaxy, the modern SQL editor and AI‑powered productivity platform provided by Galaxy Software, Inc. ("Galaxy," "we," "our," or "us"). These Terms of Service (the "Terms") form a legally binding contract between you and Galaxy that governs your access to and use of:
BY CLICKING "I ACCEPT," SIGNING AN ORDER FORM OR OTHER AGREEMENT THAT REFERENCES THESE TERMS, OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING ANY PART OF THE SERVICE, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPT THESE TERMS AND WILL COMPLY WITH THEM. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.
If you enter into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent that you have authority to bind the Organization, and "you" and "your" will refer to that Organization.
You must be at least eighteen (18) years old or the legal age of majority in your jurisdiction—whichever is higher—and capable of forming a binding contract to use the Service. You may not use the Service if: (a) you have been suspended or removed by Galaxy; (b) you are located in a country subject to a U.S. Government embargo or designated as supporting terrorism; or (c) your use would violate any applicable law or regulation.
Certain features of the Service require an account. When you register, you must provide accurate and complete information and keep it up to date. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately at support@getgalaxy.io if you believe your account is compromised. Galaxy is not liable for any loss or damage arising from unauthorized use of your account.
Current pricing is published on the Site or in an Order Form. We may modify pricing at any time upon notice, and new prices will apply at the start of the next billing cycle.
If the Service is offered on a subscription basis (each, a "Subscription"), your Subscription will automatically renew for successive terms of equal length unless you cancel it before the end of the then‑current term. You authorize Galaxy or its payment processor to charge your payment method on each renewal until you cancel. You may cancel in the billing interface or by emailing support*@getgalaxy.io*.
Galaxy may offer the Service on a free‑trial, preview, or beta basis ("Beta Services"). Beta Services are provided "AS IS" without warranty, may be discontinued at any time, and may be subject to additional terms.
Fees are exclusive of all taxes, duties, levies, or similar governmental assessments (collectively, "Taxes"). You are responsible for all Taxes associated with your purchase, excluding taxes based on Galaxy’s net income.
We may suspend or terminate access for unpaid amounts and charge reasonable costs of collection.
Subject to your continued compliance with these Terms, Galaxy grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, revocable license to download, install, and use the Software and to access and use the Service for your internal business or personal purposes.
Except for the limited license above, Galaxy and its licensors retain all right, title, and interest in and to the Service, including all intellectual‑property rights. No rights are granted by implication.
GALAXY, the Galaxy logos, and any related names are trademarks of Galaxy. You may not use them without our prior written consent.
You agree not to, and will not allow any third party to:
"Customer Data" means code, queries, database credentials, datasets, messages, prompts, files, or other content that you or your agents submit to or generate through the Service.
As between the parties, you retain all rights in Customer Data. You grant Galaxy a non‑exclusive, worldwide, royalty‑free license to host, process, transmit, and display Customer Data solely as necessary to provide the Service and to monitor, improve, and secure the Service.
Galaxy offers an optional "Privacy Mode" under which Customer Data and prompts are not retained or used to train machine‑learning models. Unless you opt in to model‑training features, your Customer Data will be processed only transiently for query execution and AI generation.
Galaxy may collect aggregated and anonymized data regarding use of the Service ("Usage Data") to operate, analyze, and improve the Service. Usage Data does not include Customer Data.
You represent that you have all rights necessary to provide Customer Data and that doing so will not violate any law or third‑party right. You are solely responsible for backing up Customer Data.
The Service may use large‑language models and other AI technologies to generate code, documentation, queries, or other outputs (collectively, "AI Output"). AI Output is provided AS IS and without warranty. AI Output may:
You are responsible for verifying the accuracy, suitability, and legality of all AI Output before using it in production or distributing it.
Galaxy hereby assigns to you any rights it may hold in AI Output generated exclusively from your Customer Data, subject to the foregoing limitations and to any third‑party rights. Galaxy grants no rights in AI Output generated from prompts or contexts that include public or shared data.
The Service may interoperate with third‑party databases, storage providers, LLMs, or other services ("Third‑Party Services"). Use of Third‑Party Services is subject to their terms, and Galaxy is not responsible for Third‑Party Services. The Service may include code licensed under open‑source licenses, which are provided to you under the relevant license terms, not these Terms.
If you provide ideas, suggestions, or other feedback about the Service ("Feedback"), you grant Galaxy a perpetual, irrevocable, worldwide, royalty‑free, and transferable license to use the Feedback for any purpose without obligation to you.
These Terms commence on the earlier of (a) the date you first accept them or (b) first use of the Service and continue until terminated.
Galaxy may suspend or terminate your access immediately if: (i) you breach these Terms; (ii) your Subscription lapses for non‑payment; or (iii) we reasonably believe suspension is necessary to protect the Service or its users. You may terminate at any time by closing your account and ceasing all use.
Upon termination: (a) your license rights cease; (b) we may delete your Customer Data (subject to applicable law and our internal retention policies); and (c) Sections 4.2, 5–7, 9–15, and 17–24 will survive.
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Galaxy and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Data; (b) your use or misuse of the Service; (c) your breach of these Terms; or (d) your violation of any law or third‑party right.
THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GALAXY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. GALAXY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GALAXY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF GALAXY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GALAXY’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNT YOU PAID GALAXY FOR THE SERVICE IN THE SIX‑MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
PLEASE READ THIS SECTION CAREFULLY. It affects your rights.
Nothing in this Section prevents either party from seeking injunctive or equitable relief in court for intellectual‑property infringement or misappropriation.
You will comply with all export laws and regulations. The Software is "commercial computer software" under FAR 2.101 and is licensed to U.S. Government users only with the rights granted to all other users pursuant to these Terms.
Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd, Ste S‑202, Sacramento, CA 95834, or by telephone at +1 (800) 952‑5210.
We may modify the Service or these Terms at any time. We will post updated Terms on the Site and update the "Last updated" date. Material changes will become effective 30 days after posting. Your continued use after that date constitutes acceptance. If you object, your exclusive remedy is to stop using the Service.
